Vinci looks to take all of Entrepose

French-based contractor Vinci plans to integrate Entrepose Contracting completely into the Vinci group by making a simplified public offer for outstanding shares at a price of €100 per Entrepose Contracting share.

Vinci said this would be followed by the required withdrawal of the offer if conditions permitted.

Entrepose Contracting became a subsidiary of Vinci in 2007 by way of block share acquisition contracts and a public offer. Vinci currently holds, directly and indirectly, 4,141,216 Entrepose Contracting shares. This represents 80.2% of the capital and 88.3% of the voting rights.

Vinci said that following market regulations, the board of directors of Entrepose Contracting would name an independent expert to prepare a report on the financial conditions of the offer, and who would provide an opinion concerning the terms and conditions of the offer.

The company said the offer and the prospectus prepared by Vinci would be filed with the Autorité des Marchés Financiers during the current quarter.

Crédit Agricole Corporate & Investment Bank and Weil, Gotshal & Manges are advising Vinci on this transaction.

Entrepose Contracting specialises in the design and construction of complex projects in the oil and gas sectors in particular, and the energy and environmental sectors in general.
